Reseller Terms & Conditions

1. Acceptance of Terms

By submitting a reseller application, or by using the GiddyHost Reseller Club portal, API, or any associated services (the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not submit an application or use the Services. These Terms apply in addition to any separate agreement you may have with GiddyHost.

2. Eligibility & Account Approval

Submitting an application does not create an account or any entitlement to one. GiddyHost reviews every application at its sole discretion and may approve, reject, or request more information before deciding. You must provide accurate, current information; providing false information is grounds for rejection or later termination. Approved accounts are non-transferable without GiddyHost's written consent.

3. Prepaid Balance & Payments

The Services operate on a prepaid basis. You must maintain a sufficient balance to cover domain registrations, renewals, transfers, and any other billable action before it is performed; GiddyHost may decline any action that would take your balance below zero (except where a credit limit has been explicitly granted to you in writing). Funds added to your balance are, except where required otherwise by law or where GiddyHost agrees in writing, non-refundable — they represent prepayment for future domain transactions, not a cash deposit held on your behalf. Chargebacks or payment reversals initiated without first contacting GiddyHost support may result in immediate account suspension.

4. Pricing & Fees

Wholesale prices shown in your account are set by GiddyHost and may change at any time; changes do not apply retroactively to actions already completed. Promotional prices are time-limited and may be withdrawn or altered at their stated expiry. You are solely responsible for the prices you charge your own customers — GiddyHost has no involvement in, and no liability for, your pricing, billing, or customer agreements.

5. Domain Registration Responsibilities

You are responsible for ensuring that every domain registration, renewal, or transfer you submit complies with the policies of the relevant registry (including, for .ng domains, NiRA's registration and eligibility policies) and with applicable law. You are responsible for collecting and submitting accurate WHOIS/registrant contact information for your customers and for promptly relaying any registry or GiddyHost compliance notices to the underlying registrant. GiddyHost may suspend or cancel a registration that a registry flags as non-compliant, fraudulent, or in breach of registry policy, without liability to you.

6. Prohibited Uses

You may not use the Services to register or manage domains for phishing, malware distribution, spam operations, trademark or copyright infringement, sale or promotion of illegal goods or services, or any other unlawful purpose. You may not attempt to circumvent rate limits, probe or attack the API or portal, share your API credentials with unauthorized parties, or resell access to the Services themselves (as opposed to domains) without GiddyHost's written consent.

7. Sub-Resellers

If you enable sub-reseller accounts under your own account, you are responsible for your sub-resellers' compliance with these Terms as if their actions were your own, and for any markup, billing, or support arrangement you make with them — GiddyHost has no direct relationship with your sub-resellers.

8. API & Account Security

You are responsible for keeping your API key/secret and portal password confidential and for all activity that occurs under your credentials. Notify GiddyHost support immediately if you believe your credentials have been compromised. GiddyHost is not liable for losses arising from your failure to secure your own credentials.

9. Service Availability

The Services depend on third-party domain registries, payment gateways, and infrastructure providers that are outside GiddyHost's control. GiddyHost does not guarantee uninterrupted availability and is not liable for delays, failures, or losses caused by registry outages, gateway downtime, or events beyond its reasonable control.

10. Suspension & Termination

GiddyHost may suspend or terminate your account for breach of these Terms, suspected fraud or abuse, non-payment, or at its discretion with reasonable notice where practical. You may close your account at any time by contacting support; any remaining prepaid balance is handled per Section 3.

11. Limitation of Liability

To the maximum extent permitted by law, GiddyHost's aggregate liability arising from or relating to the Services is limited to the amount you paid to GiddyHost in the three (3) months preceding the claim. GiddyHost is not liable for indirect, incidental, or consequential damages, including lost profits or lost domains arising from registry-side failures outside its control.

12. Indemnification

You agree to indemnify and hold GiddyHost harmless from claims arising from your use of the Services, your customers' domains, or your breach of these Terms.

13. Changes to These Terms

GiddyHost may update these Terms from time to time. Material changes will be announced via the portal or by email; continued use of the Services after an update constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, unless a separate written agreement between you and GiddyHost states otherwise.
